Mike Sullivan
started in private practice with Sullivan & Cromwell
in New York. After Sullivan & Cromwell, he spent several
years as inside counsel with large and small, public and
private, companies. From 1989 – 2003 he was Vice President
(later Senior Vice President), Secretary & General Counsel
for SCI Systems, Inc. in Huntsville, AL. SCI Systems merged
with Sanmina Corporation of San Jose, CA to form Sanmina-SCI
Corporation, a large NYSE electronic products engineering
and manufacturing company with 50,000 employees in 21 countries.
Mr. Sullivan counseled Sanmina-SCI through the initial phases
of Sarbanes-Oxley compliance.
Mr. Sullivan is a member of the
Taylor-Busch Corporate Practice Area. Mr. Sullivan’s
principal areas of concentration include general corporate
matters, family-business law, corporate finance matters
such as public and private securities offerings, merger
and acquisition transactions, Not-For-Profit law, and
general business law matters. Mr. Sullivan has represented
businesses at all stages of development and in a variety
of industries. His merger and acquisition practice includes
structuring and financing acquisitions and divestitures
for public and privately owned companies and involves
both domestic and international / cross-border acquisitions.
In the corporate finance arena, Mr. Sullivan has represented
clients in connection with private placements of equity
and debt securities, venture capital, project finance
and joint venture transactions, and ongoing compliance
issues under the federal and state securities laws. Mr.
Sullivan counsels public and private companies (for profit
and non-profit) in Sarbanes-Oxley compliance and corporate
governance best practices.
