Gail Kinney is a member of the firm’s Real Estate, Health Care and Corporate Practice groups. With extensive experience in the Real Estate arena, Ms. Kinney counsels developers, builders, and tenants on a wide variety of real estate matters, such as commercial leasing, land acquisition, build-to-suit, zoning, construction, title matters and financing.

In her role as counsel to Health Care providers, Ms. Kinney provides assistance in drafting and negotiating contracts between providers, offering legal guidance regarding compliance with fraud and abuse, physician self-referral, anti-kickback, and non-profit organization rules. Gail also provides advice on Certificate of Need, medical staff matters, patient transfer (EMTALA) issues, FDA clinical trials and risk management. She has also represented long term care facilities in state investigations and served as guardian to adult patients of hospital clients.

As a member of the firm’s Corporate Practice Group, Ms. Kinney advises on a variety of matters including choice of entity, taxable and tax-exempt entity formation, shareholder agreements, management service organizations, joint ventures, employment/termination agreements, loan agreements and structured settlement agreements. She assists clients in identifying appropriate financial structures and tools for optimal long term growth.

Ms. Kinney has extensive experience in corporate finance and the commercial and investment banking arenas. She has large-firm practice experience and served as in-house counsel to a publicly-traded medical billing and software technology entity.

The breadth of experience in the fields of finance and real estate, and an in-depth awareness of the needs of health care providers fighting for survival in a dynamic health care environment gives Ms. Kinney a unique perspective and understanding of smart business practices applications.
